The Group: We were the first firm to commit to building a full capital markets execution capability in the Middle East. We are active in structuring and executing a wide range of high-value conventional and Islamic-compliant capital market transactions for clients across a broad spectrum of jurisdictions including the GCC, the wider Middle East region, Asia and Europe.

We work on a broad variety of matters under both English and UAE law including:

  • medium term note programmes;
  • eurobonds;
  • sukuk transactions;
  • regulatory capital issues;
  • liability management transactions;
  • convertible and exchangeable bonds; and
  • structured financings.

Our clients include issuers, dealers, arrangers, underwriters, originators and investors.  We act for the leading global and regional financial institutions and corporates located not only in the Middle East, but also in Europe, the Americas and Asia. We work with global clients such as Barclays, Citi, HSBC, JP Morgan, Standard Chartered Bank and leading regional financial institutions and corporates such as Dubai World, Majid Al Futtaim and Emirates Airlines.

For instance, in the recent time we have advised on the following key transactions:
    • advising National Bank of Abu Dhabi P.J.S.C. on its issue of U.S.$587,000,000 3.00 per cent. Notes due 2022 under its U.S.$7,500,000,000 Euro Medium Term Note Programme, the first ever green bond issued from a financial institution in the region (in accordance with the Green Bond Principles). The bonds were listed on the London Stock Exchange and admitted to its dedicated green bonds segment.
    • advising on First Gulf Bank P.J.S.C.'s consent solicitation exercise in connection with its merger with National Bank of Abu Dhabi P.J.S.C. This involved 29 series of Notes issued across its: (i) Euro Medium Term Note Programme; (ii) Trust Certificate Programme; and (iii) Australian Note Programme. This was also one of the largest and most complex liability management exercises ever undertaken in the Middle East.
    • advising on Majid Al Futtaim Holding LLC's issuance of U.S.$500,000,000 reset subordinated perpetual notes by MAF Global Securities Limited, irrevocably guaranteed on a joint and several basis by Majid Al Futtaim and Majid Al Futtaim Properties LLC.
    • advising on: (1) EQUATE Petrochemical B.V.'s multi-tranche issue of: (i) U.S.$1,250,000,000 4.25 per cent. Notes due 2026; and (ii) U.S.$1,000,000,000 3.00 per cent. Notes due 2022, each under the U.S.$4,000,000,000 Global Medium Term Note Programme unconditionally and irrevocably guaranteed, jointly and severally, by EQUATE Petrochemical Company K.S.C.C. and The Kuwait Olefins Company K.S.C.C.; and (2) EQUATE Sukuk SPC Limited's issue of U.S.$500,000,000 3.944 percent Certificates due 2024 under the U.S.$2,000,000,000 Trust Certificate Issuance Programme of EQUATE Sukuk SPC Limited and EQUATE Petrochemical Company K.S.C.C.
    • advising the Government of Kuwait on its debut 144A GMTN Programme establishment and U.S.$8bn drawdown thereunder, as well as advising the Sultanate of Oman on raising more than U.S.$10bn in both the conventional and Islamic capital markets.

Skills & Experience:

  • We are currently seeking outstanding mid-level capital markets lawyers who have gained relevant experience in a top tier firm. Prior exposure to DCM is helpful.
  • In all cases, candidates should have first class legal ability coupled with a practical commercial approach. Candidates should also demonstrate excellent drafting, analytical and communication skills; and enjoy being part of a friendly outgoing team. You must also have exceptional results throughout your academic history.
